Statutes of the Berufsverband Bildender Künstler Sachsen-Anhalt e.V.


Preliminary remark: The generic masculine used in these Articles of Association refers to all genders.

These Articles of Association were adopted at the General Meeting on 25.05.2019 in Magdeburg and entered in the Stendal Register of Associations on 03.09.2019.

1. name, registered office, legal form

1.1

The association bears the name “Berufsverband Bildender Künstler Sachsen-Anhalt e.V.”, hereinafter abbreviated to BBK Sachsen-Anhalt. The association is based in Halle (Saale).

1.2

The area covered by the association is the federal state of Saxony-Anhalt.

1.3

The BBK Saxony-Anhalt is registered in the register of associations at Stendal Local Court.

1.4

The BBK Saxony-Anhalt is a corporate member of the Bundesverband Bildender Künstlerinnen und Künstler (BBK) e.V. (Federal Association of Visual Artists).

1.5

The association year is the calendar year.

1.6

The bodies of the association are the General Meeting and the Executive Board.


2. tasks and objectives

2.1

The BBK Saxony-Anhalt is a professional association of artists working professionally in all areas of the visual arts.

2.2

The association has the task of representing the interests of its members at state level and asserting them in terms of professional policy.
This includes in detail:
– Representation of the professional and cultural policy interests as well as the social, legal and economic interests of the members,
– Improving the working and income conditions of visual artists,
– Promotion of young artists,
– actively influencing the cultural policy concerns of society beyond the immediate interests of its members,
– Cooperation and exchange of information with the BBK and its member associations as well as between the members of the association.

2.3

The association is politically independent and refrains from any commitment to a particular artistic direction.

2.4

The purpose of the association is not primarily aimed at commercial business operations.

2.5

The association sees itself as a community of solidarity. Respectful and collegial interaction with one another is an essential prerequisite.


3. membership

3.1

Natural persons can become members of the BBK Saxony-Anhalt if they recognize its statutes and have the necessary artistic and theoretical qualifications.

3.2.

Membership entails individual membership of the Bundesverband Bildender Künstlerinnen und Künstler.

3.3

Membership must be applied for in writing by the applicant.
Admission is open to anyone who has successfully completed a degree in an artistic, applied or corresponding scientific subject.
Can be recorded,
a) who can provide evidence of professional exhibition or publication activities or a qualified artistic practice,
b) anyone who has been excluded from the professional association, three years have passed since their exclusion and the Board of Directors has decided to reinstate them.

3.4

The admission committee appointed by the Board of Directors checks whether these requirements are met and whether the applicant can be admitted. The Board of Directors decides on admission.

3.5

The applicant must pay an admission fee for the administrative expenses incurred by the admission on the basis of the association’s cost regulations.

3.6

In the event of a rejection, the applicant may submit a written objection stating the reasons. The objection must be lodged with the office within three weeks of receipt of the rejection decision. The Board of Directors makes the final decision on admission.

3.7

Membership is linked to the payment of a membership fee. The amount of the contribution is determined by the General Meeting.

3.8

The contribution must be paid annually or semi-annually by the end of the first month of the year or half-year.


4. expiry of membership

4.1

Membership of the BBK Saxony-Anhalt ends
a) by submitting a written declaration of resignation to the office, which can only be submitted at the end of a calendar year,
b) by exclusion,
c) by death,
d) with the dissolution of BBK Saxony-Anhalt.

4.2

The Executive Board decides on the exclusion. Reasons for exclusion are, in particular, behavior detrimental to the association, gross violation of the interests of the association, misconduct in the admission procedure, non-payment of the membership fee. The decision to exclude a member shall be justified by the Executive Board to the member to be excluded. The member affected by the exclusion may object to the decision within three weeks. The Board of Directors may form a committee from among the members and suitable third parties to examine the member’s objections and draw up a recommendation. The Board of Directors makes the final decision on exclusion.


5 . General meeting

5.1

The General Assembly is the highest body of the BBK Saxony-Anhalt. It must be convened once a year by the Board of Directors in writing with a notice period of four weeks, stating the agenda. Motions must be submitted in writing to the office at least fourteen days before the General Meeting. Motions submitted at the General Meeting may be included in the resolution if at least two thirds of the members present agree to their inclusion

5.2

The General Meeting passes resolutions by a simple majority of the votes cast; it is quorate regardless of the number of participants. This must be indicated in the invitation.
Voting by proxy is not permitted.
The resolution is passed by open vote. Resolutions are passed by secret ballot if requested by a member present.

5.3

Extraordinary general meetings must be convened by the Executive Board if, upon submission of the agenda
– the interests of the association require a general meeting in the opinion of one third of all board members or
– one tenth of all members submit a signed request for a general meeting.

5.4

The resolutions of the General Meeting must be recorded in the minutes and signed by the Chairman.
and to inform all members of the BBK in an appropriate manner.

5.5

The members of the Board of Directors are elected individually. The Board of Directors is constituted at the first Board meeting of the new legislature (definition of functions).
In addition, the General Meeting determines its own election and rules of procedure.

5.6

Amendments to the Articles of Association require a two-thirds majority and the dissolution of the Association requires a three-quarters majority. Amendments to the Articles of Association and dissolution of the Association are only possible if they are expressly listed in the invitation to the General Meeting.

5.7

The tasks of the General Meeting are
– Acceptance of the annual reports of the Board of Directors and the auditors,
– Discharge of the Executive Board,
– Election and dismissal of the Executive Board,
– Election of the auditors,
– Election of delegates to the Federal Delegates’ Assembly,
– Determination of the work program and the budget,
– Amendments to the Articles of Association,
– Resolution on the amount of the membership fee,
– Resolution on the amount of the expense allowance for members of the Board of Directors
– Dissolution of the association


6th Executive Board

6.1

The Executive Board consists of a minimum of five and a maximum of seven members. The first and second chairpersons each have sole power of representation in accordance with § 26 BGB and represent the association in legal transactions. All members of the Management Board are on an equal footing internally.

6.2

The Executive Board implements the resolutions of the General Assembly, manages the day-to-day business of BBK Saxony-Anhalt and is responsible to the General Assembly
accountable to the Supervisory Board.

6.3

The Board of Directors is elected for three years by the General Meeting. However, they remain in office after the end of their term of office until the new Board of Directors is elected.
Individual members of the Board of Directors or the entire Board of Directors may be voted out of office outside the term of office stipulated in the Articles of Association if one tenth of the members submit a motion to this effect together with a justification and alternative personnel proposals together with an invitation to a General Meeting.

6.4

If a member of the Board of Directors resigns prematurely for personal reasons, the Board of Directors may appoint a temporary representative until a new election is held at the next General Meeting.

6.5

The Board of Directors sets its own rules of procedure within the framework of the Articles of Association.

6.6

The Board of Directors may employ staff to manage the business, in particular a managing director. The Managing Director participates in the meetings of the Executive Board without voting rights, unless the Executive Board decides otherwise. The Managing Director manages the business of the Association in accordance with the resolutions.

6.7

The Board of Directors may appoint committees, commissions or individual persons (committees) to fulfill special tasks.

6.8

Members may participate in the meetings of the Executive Board and the committees. They are not entitled to vote.

6.9

The members of the Board of Directors may receive compensation commensurate with their duties, the amount of which is determined by the General Meeting.


7. auditors

7.1

The General Meeting elects two auditors. These are in office until the following General Meeting.

7.2

The cash auditors check the cash and document management of BBK Saxony-Anhalt and report to the general meeting.


8 Liability, assets, dissolution

8.1

Members are only liable for the liabilities of BBK Sachsen-Anhalt with their share of the association’s assets and their outstanding contributions. Any further liability is excluded.

8.2

The dissolution of the BBK Saxony-Anhalt shall be effected by resolution of the General Meeting.

8.3

Upon dissolution of the BBK Saxony-Anhalt, any existing assets of the association shall be transferred to a cultural foundation or a public law institution of the state of Saxony-Anhalt to be determined by the general meeting.

8.4

Upon dissolution of the BBK Saxony-Anhalt, all contracts that the BBK Saxony-Anhalt maintains with third parties shall be terminated. Liability towards third parties is limited to the amount of the association’s contribution.
